STEPHEN C. CARDOT
President, Chief Executive Officer, Chairman
Mr. Cardot has served information technology and the design industry for more than 25 years. Since co-founding CloudCover, Mr. Cardot has led the team that is developing the revolutionary cyber risk transfer technology known as Cybersecurity Data Insurance. Mr. Cardot is responsible for the architecture and design including managing the development of the CDI platform. Stephen is the inventor and senior patent author of Systems and Methods for Insuring TCP/IP Data and Transmission behind the CloudCover Protocol.

Prior to starting CloudCover, Stephen co-found one of the first digital marketing design firms; the Cardot Group that became an early-stage leader in developing the online banking technology and ecommerce sites. He serves as a consultant to corporate and governmental institutions and has become subject matter advisor for the Department of Homeland Security in cybersecurity insurance and NPPD and NIST on the Cybersecurity Framework. Mr. Cardot is a long term resident of Minnesota and has degrees in art, IT and business from Illinois State University.


JOHN G. SHANNON
Executive Vice-President, Chief Legal Officer
President, CloudCover Re
Mr. Shannon joined the CloudCover team in 2008. He is Executive Vice-President and Chief Legal Officer of CloudCover Ltd. and President of CloudCover Re, Inc. — and a major shareholder in all organizations. Mr. Shannon serves as Director on all CloudCover Boards and is one of the key principals in the formation and management of the Company. He is actively involved in marketing and management issues for the organization.

In his current practice, Mr. Shannon's empasis is in transactional, business and insurance law concerning regulatory actions and coverage disputes. Mr. Shannon is the President of Foley, Shannon, Powers and Rusch in Wisconsin and currently represents Pekin Insurance, Harleysville Insurance, Prime Insurance, Underwriters at Lloyds of London and Erie Insurance Company. Mr. Shannon is a long term resident of Wisconsin and serves on numerous civic and private boards.


RICHARD BRAY
Chief Risk Officer (acting-interim)
CloudCover Re

Mr. Bray joined the CloudCover team in 2011 and is developing the reinsurance to work alongside CDI technology. Mr. Bray serves as a Director member on CloudCover Re's Board, and is one of the key principals in it's formation and structure. Mr. Bray brings a strong understanding of reinsurance placement and design along with executive insurance management and over 30 years experience.

Mr. Bray is currently Executive Vice-President of Trean Corporation, an independent insurance holding company with over $120M in premium revenue. Trean Corporation is located in Minnesota with additional offices in Connecticut, Atlanta, Los Angeles and Las Vegas. Trean Reinsurance Services is one of the largest independently owned reinsurance intermediaries in the United States along with Benchmark Insurance, which is an A-rated (A.M. Best) casualty insurance carrier licensed in 49 states, and Trean Underwriting Managers which functions as the underwriting manager for Nevada Mutual Insurance and numerous alternative risk programs. He has assisted carriers in raising capital, establishing management infrastructure and underwriting and structuring placement of reinsurance. Mr. Bray attended the University of South Dakota / Regents College receiving his B.S. degree.


KEVIN MURPHY
Director of Professional Services
Vice-President, CloudCover Risk Solutions

Mr. Murphy joined CloudCover in 2010 helping lead the development team resulting in the initial CDI prototype concept and development. Kevin and helped to further drive the strategic business partnerships and product development of the CloudCover Risk Profile process and product.

Currently, Mr. Murphy currently serves as the VP and Managing Director of CloudCover Risk Solutions with specific responsibilities to help complete CDI prototype development while co-managing and overseeing development and implementation of the CRS professional services subsidiary within the CloudCover organization. Mr. Murphy is a long term resident of Minnesota and attended the University of Minnesota Carlson School of Management. Kevin has founded number of start ups in the financial service, technology and building industries.


TODD M. PETERSON
Director of Business Development and Strategy
Mr. Peterson joined the CloudCover team in 2013 and is the lead business development director responsible for market "ecosystem" injection by coordinating partner development to enterprise scale CDI adoption.

Mr. Peterson is founder and CEO of a consumer strategy consultancy known as W4Group. W4G's premier customer was Microsoft in which Mr. Peterson was the lead marketing partner for 12 years. W4G was engaged to develop and execute the Microsoft Consumer Experience Center and Program. The project was first for Microsoft that leveraged partners, such as Intel and HP to bring experiential consumer scenarios and demonstrations to life and be presented in their relevant environments. As senior member of the Microsoft Innovation Team, 2007-2009, Mr. Peterson managed relations with the U.S. government (DoD) agencies with regard to training and technology.


ANTHONY PENCE
Chief Financial Officer (acting-interim)
Anthony Pence has been providing consulting services to CloudCover since December 2011 and is currently the acting-interim Chief Financial Officer. In this capacity, Mr. Pence advises the Company and the Board of Directors on accounting and financing, including strategy, terms and valuation, as well as interfacing with the lawyers, accountants and bankers.

In addition to his responsibilities at CloudCover, Mr. Pence is a founding partner of BlackTorch Capital, a boutique investment bank in Minneapolis, where he has led several engagements, including mergers and acquisitions, debt financings and financial advisory services.  Prior to BlackTorch Capital, he was a partner at Teneca, formerly affiliated with Devenir, an investment bank.  Mr. Pence also worked at TripleTree, an investment bank, where he led the firm's expansion into the telecommunications sector. Anthony also served as Manager of Corporate Development for Vodafone, where he led and participated in several transactions in Asia and the Americas. He has also been employed as a corporate finance analyst for Dain Bosworth, now RBC Capital Markets. Mr. Pence holds a B.A. in Economics and Finance from the University of St. Thomas, where he graduated magna cum laude.


JOHN J. RIORDAN
Director of Marketing / Investor Relations
Mr. Riordan joined CloudCover in 2010 as the Director of Investor Relations after holding executive positions in the real estate development industry. Mr. Riordan has been instrumental in building the core infrastructure of the CloudCover organization and has held several executive-level positions including director of administration, human resources and currently Director of Marketing. In his current role, Riordan oversees marketing, social media and coordinating investor and shareholder information services for the entire organization.

Mr. Riordan is a multidisciplinary individual with an extensive skills that encompass complex negotiations to creative marketing. Currently, he is President of Dayta Marketing, Inc. a growing social media marketing company located in St Cloud, MN. During his 30-year business career, Riordan has led the administration and marketing efforts within real estate development and banking entities with revenue north of $ million in annual income. Mr. Riordan received his B.S. degree in Business Administration from Arizona State University.


KAYE LOKOWICH
Director of Research
Ms. Lokowich joined the CloudCover organization in 2010, bringing with her a diverse background related to research, as well as strong attention to detail. Ms. Lokowich has made significant contributions on internal white papers, as she is able to translate complex data into understandable reporting.

Ms. Lokowich has seven years of corporate contract litigation experience that led to her recognition as a subject matter expert and thought leader to the State of Wisconsin in the mortgage securities and financial services industry. She has spoken at large Milwaukee Legal Aid conferences providing expertise for more than 100 lawyers during the financial crisis of 2008-2009. Ms. Lokowich additionally has more than 10 years experience in both the residential and commercial real estate industry where she led multi-functional, multi-family development solutions for several municipalities. Ms. Lokowich is long term resident of Wisconsin. Her education includes studies at the University of California, L.A. as well as attaining Phi Theta Kappa honors from the University of Wisconsin.
